1. Acceptance of Terms

These Terms of Use ("Terms") govern your use of www.corporatelegal.tech (the "Site"), operated by CorporateLegal.tech LLC ("CorporateLegal.tech", "we", "us" or "our"). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

2. Definitions

• Company: A business whose profile is listed in the directory, typically a legal technology vendor or service provider.
• Product: A software product or service offered by a Company and listed in the directory.
• Sponsor: A Company that has purchased a sponsorship package under our Sponsor Agreement.
• Verified badge: The badge displayed on a Sponsor's Company profile and Product listings to show that the Company is a paying Sponsor.
• Creator: An individual who submits blog posts or other content for publication on the Site.
• User or you: Anyone who visits or uses the Site.

3. Nature of the Site

CorporateLegal.tech is a free directory of Companies and Products for in-house legal departments, with articles and resources from Creators.

• Informational Purpose Only: Company profiles, Product listings, articles and other content are provided for general information. They are not legal, technical, procurement or investment advice.
• No Endorsement: We do not provide, endorse, guarantee or warrant any Company or Product. You are responsible for your own due diligence before engaging any Company or buying any Product.
• Accuracy: We research listings and aim to keep them current, but Company ownership, features and pricing change often. We do not guarantee that any listing is complete, accurate or up to date.

4. Sponsorships and the Verified Badge

The Site is free for Users and is funded by Sponsors.

• What Sponsors Receive: Sponsors pay a fee for enhanced placement and features, which may include featured or priority placement, a Verified badge, and additional profile content.
• What the Verified Badge Means: The Verified badge identifies a Company as a paying Sponsor. It is a paid advertising designation. It does not mean that we have independently tested, reviewed, audited, certified or endorsed the Company or its Products, or that the Company is better than a Company without the badge.
• Disclosure: We label sponsored placements and explain the Verified badge wherever it appears so that Users can tell paid placement from editorial content.
• Editorial Independence: Whether a Company or Product is listed does not depend on sponsorship. Sponsors do not control our editorial descriptions or articles.

5. Introductions to Companies

If you request an introduction to a Company, a CorporateLegal.tech moderator reviews your request before forwarding it to that Company. After an introduction, your relationship with the Company is solely between you and the Company. We are not a party to any agreement between you and a Company, and we are not responsible for a Company's Products, services, conduct or pricing.

6. Creator Content

• License: Creators who submit content grant CorporateLegal.tech the license described in the Creator Agreement.
• Moderation: We review Creator content before publication but do not verify every statement. Opinions in Creator content belong to the Creator. We may edit, decline or remove content at our discretion.
• Conflicts of Interest: Creators must disclose any financial or professional relationship with a Company, Product or Sponsor that they write about.

7. Company and Product Information

Company names, logos and Product names on the Site are the trademarks of their respective owners. Their use on the Site identifies the Company or Product and does not imply affiliation with or endorsement by that Company. A Company that believes its listing is inaccurate may request a correction at hello@corporatelegal.tech.

8. Intellectual Property

Except for Company trademarks, Sponsor-supplied materials and Creator content, all content on the Site, including directory structure, categories, editorial research, text, design and branding, is owned by CorporateLegal.tech LLC. You may not copy, reproduce, scrape or redistribute it without our written permission.

9. DMCA / Copyright Policy

We respect the intellectual property rights of others. To report claimed copyright infringement, send a notice that meets the requirements of the Digital Millennium Copyright Act (DMCA) to hello@corporatelegal.tech. We respond promptly to valid notices.

10. User Conduct

By using the Site, you agree not to:

• Use bots, scrapers or scripts to collect Company, Product, Sponsor or Creator data.
• Interfere with or attempt to compromise the security of the Site or our service providers (Webflow, Microsoft 365, HubSpot).
• Submit false, misleading, defamatory or unlawful content or introduction requests.
• Impersonate any person, Company or Sponsor.

11. Third-Party Links

The Site links to Company websites and other third-party sites. We do not control and are not responsible for their content, Products or privacy practices.

12. Disclaimer of Warranties

The Site and all content are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law, CorporateLegal.tech LLC and its members, officers and agents are not liable for any indirect, incidental, special, consequential or punitive damages resulting from:

• Your use of, or reliance on, any listing or content on the Site.
• Your dealings with any Company or Sponsor found through the directory.
• Any technical errors, omissions or inaccuracies on the Site.

14. Indemnification

You agree to indemnify and hold harmless CorporateLegal.tech LLC and its members, officers and agents from any claims, damages, losses and reasonable legal fees arising from your breach of these Terms, your use of the Site, or your violation of any third party's rights.

15. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a new date. Continued use of the Site after that date means you accept the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-law rules. Any disputes arising from these Terms or the Site shall be resolved exclusively in the state or federal courts located in Christian County, Missouri.
