Creator Agreement

This Creator Agreement ("Agreement") is between CorporateLegal.tech LLC, a Missouri limited liability company ("CorporateLegal.tech", "we", "us" or "our"), and the individual who submits content for publication on www.corporatelegal.tech (the "Site") ("Creator" or "you"). By submitting text, images or other media ("Content"), you agree to this Agreement.

1. Definitions

• Company: A business whose profile is listed in the Site's directory.
• Product: A software product or service offered by a Company and listed on the Site.
• Sponsor: A Company that pays CorporateLegal.tech for a sponsorship package.
• Verified Badge: The badge that identifies a Company as a paying Sponsor.

2. Ownership and License

• Ownership: You keep ownership of the copyright and other intellectual property rights in your Content.
• License: You grant CorporateLegal.tech a non-exclusive, royalty-free, worldwide, perpetual, sub-licensable license to host, display, reproduce, adapt for formatting, distribute and promote your Content on the Site, in newsletters and on our social media and marketing channels.

3. Your Representations

You represent and warrant that:

• The Content is your original work and does not infringe anyone else's intellectual property or privacy rights.
• The Content is not defamatory or otherwise unlawful.
• The Content does not disclose information protected by a confidentiality agreement, privilege or restrictive covenant.
• You have all rights and permissions needed to grant the license in Section 2.

4. Disclosure and Conflicts of Interest

• Relationships: You must tell us about, and clearly disclose in your Content, any financial or professional relationship with a Company, Product or Sponsor you mention. This includes employment, contracting, consulting, investment, referral fees and free access to a Product.
• Sponsors: You must not describe a Sponsor's Verified badge as an independent review, certification or endorsement.
• Paid Content: If a Company or Sponsor pays or otherwise compensates you for Content, the Content must say so clearly at the top, and we may label it "Sponsored".
• Accuracy: You are responsible for the accuracy of facts, data and claims about any Company or Product in your Content.

5. Public Profile

You agree that we may publicly display your name, professional biography, headshot and social media links with your Content. You are responsible for keeping this information current.

6. Editing, Publication and Removal

• Right to Edit: We may edit Content for clarity, length, formatting, accuracy or compliance with this Agreement.
• No Guarantee of Publication: Submitting Content does not guarantee publication.
• Removal by Us: We may remove Content at any time and for any reason, including suspected infringement, an undisclosed conflict of interest, or a change in a Company's or Product's status.
• Removal at Your Request: You may ask us to remove your Content by emailing hello@corporatelegal.tech. We will remove it from the Site within a reasonable time, but copies already shared in newsletters or on social media may remain.

7. No Compensation

Unless agreed in a separate written addendum, you contribute Content voluntarily and will not receive payment from CorporateLegal.tech.

8. Indemnification

You agree to indemnify, defend and hold harmless CorporateLegal.tech LLC and its members, officers and agents from all claims, damages, losses and reasonable attorneys' fees arising from your breach of this Agreement or any claim that your Content infringes a third party's rights.

9. Limitation of Liability

To the maximum extent permitted by law, CorporateLegal.tech LLC is not liable for any indirect, incidental, special or consequential damages arising from this Agreement or the publication of your Content.

10. Changes

We may update this Agreement by posting a new version on the Site. The version in effect when you submit Content governs that Content.

11. Governing Law

This Agreement is governed by the laws of the State of Missouri, without regard to its conflict-of-law rules. Any disputes arising from this Agreement shall be resolved exclusively in the state or federal courts located in Christian County, Missouri.
