Sponsor Agreement

This Sponsor Agreement ("Agreement") is between CorporateLegal.tech LLC, a Missouri limited liability company ("CorporateLegal.tech", "we", "us" or "our"), and the Company purchasing a sponsorship ("Sponsor" or "you"). By clicking "Complete Purchase" or checking "I agree to the Sponsor Agreement", you confirm that you are authorized to bind the Sponsor and that the Sponsor accepts this Agreement.

1. Definitions

• Company: A business whose profile is listed in the directory on www.corporatelegal.tech (the "Site").
• Product: A software product or service offered by a Company and listed on the Site.
• Sponsor: A Company that has purchased a Sponsorship Package under this Agreement.
• Sponsorship Package: The Professional, Premier or Strategic package, as described on the Site's Sponsor page at the time of purchase.
• Verified Badge: The badge we display on a Sponsor's Company profile and Product listings to identify the Company as a paying Sponsor.

2. Sponsorship Services

During the Term, we will provide the features included in your Sponsorship Package, which may include:

• Verified Badge: Display of the Verified badge on your Company profile and your listed Products.
• Featured Placement: Placement of your Company or Products on the home page, category pages or tag pages.
• Priority Placement: Listing at or near the top of your chosen category.
• Enhanced Profile Content: Additional Product listings, media and links.
• Competitor Exclusivity: Where included in your Sponsorship Package, we will not display advertisements or featured placements for a direct competitor on your Product pages.

The features of each Sponsorship Package are those shown on the Sponsor page at the time of purchase.

3. The Verified Badge and Disclosure

• Meaning: The Verified badge identifies a Company as a paying Sponsor. It is a paid advertising designation. It is not an independent review, test, audit, certification or endorsement of the Sponsor or its Products.
• Our Disclosure: We will explain the meaning of the Verified badge wherever it appears on the Site and in our Terms of Use.
• Your Use: You may state that you are a "Verified Sponsor on CorporateLegal.tech". You must not describe the Verified badge as an independent certification, review, ranking or endorsement, in your own marketing or elsewhere.
• Removal: The Verified badge and all other paid features end when the Term ends or this Agreement is terminated.

4. Editorial Independence

Sponsorship does not buy editorial control. We decide which Companies and Products are listed and write our own descriptions, categories and articles. We will correct factual errors you report to us, but we are not required to adopt your marketing language. Non-sponsoring Companies remain listed on the Site.

5. Fees and Payment

• Fees: You agree to pay the fees for your Sponsorship Package shown at checkout. Current annual fees are $2,400 (Professional), $7,200 (Premier) and $18,000 (Strategic). Multi-year discounts may be offered at checkout.
• Billing: Fees are charged through our payment processor at the start of each annual term. If you select automatic renewal, you authorize us to charge your payment method for each renewal term until you cancel.
• Taxes: Fees exclude applicable taxes, which you are responsible for.
• Refunds: Fees are non-refundable once a term has begun, and we do not give prorated refunds for early cancellation.
• Late Payment: If a payment fails, we may suspend the Verified badge and other paid features until the balance is paid.

6. Your Content

• Accuracy: You are solely responsible for the accuracy of the content, logos and claims you provide, such as security certifications or performance claims.
• Rights: You confirm that your content does not infringe any third party's rights and complies with applicable law, including advertising and consumer protection law.
• License: You grant us a non-exclusive, royalty-free license to use your trademarks, logos, Product names and supplied content to deliver the Sponsorship Package and to identify you as a Sponsor during the Term.

7. Representations and Warranties

You represent and warrant that you have full authority to enter into this Agreement, that the information you provide is accurate, and that your Products and marketing comply with all applicable laws.

8. Indemnification

You agree to indemnify, defend and hold harmless CorporateLegal.tech LLC and its members, officers and agents from all claims, damages, liabilities, costs and expenses, including reasonable attorneys' fees, arising from:

• Your content, logos or claims, including any claim that they infringe a third party's rights.
• The quality, safety, performance or legality of your Products or services.
• Any description of the Verified badge by you that breaches Section 3.
• Your breach of this Agreement.

9. Limitation of Liability

To the maximum extent permitted by law, CorporateLegal.tech LLC is not liable for any indirect, incidental, special or consequential damages, including lost profits, arising from this Agreement. Our total liability under this Agreement will not exceed the fees you paid us in the 6 months before the claim arose.

10. Term and Termination

• Term: This Agreement begins on the date of purchase and continues for the annual or multi-year term selected at checkout, plus any renewal terms (the "Term").
• Cancellation: Either party may end automatic renewal by giving at least 30 days' written notice before the end of the current term. The sponsorship then ends at the end of that term.
• Termination for Cause: We may terminate this Agreement immediately if you breach it, including non-payment or misrepresenting the Verified badge. No refund is due on termination for cause.
• Effect: On termination or expiry, we will remove the Verified badge and all paid features. Your standard Company profile and Product listings may remain on the Site.

11. General

This Agreement, together with the Sponsorship Package terms shown at checkout, is the entire agreement between the parties about sponsorship. We may update this Agreement for future terms by posting a new version on the Site; the version in effect when a term begins governs that term. You may not assign this Agreement without our written consent.

12. Governing Law

This Agreement is governed by the laws of the State of Missouri, without regard to its conflict-of-law rules. Any disputes arising from this Agreement shall be resolved exclusively in the state or federal courts located in Christian County, Missouri.

13. Notices

Notices to us must be sent to hello@corporatelegal.tech. Notices to you will be sent to the email address you provided at checkout.
